Terms of Use

1. Introduction

These Terms of Use ("Terms") constitute a binding legal agreement between you ("you" or "your") and Doceree, which refers to Doceree Inc., a Delaware corporation with its principal place of business in the United States, together with its affiliates, subsidiaries, and related entities globally (collectively, "Doceree," "we," "us," or "our").

These Terms govern your access to and use of the proprietary prescription savings and support services operated by Doceree, including all associated websites, mobile applications, software, tools, discount offerings, data interfaces, content, messaging features, platforms, resources, and other digital communications made available by or on behalf of Doceree (collectively, the "Services").

As part of the Services, Doceree offers access to Co-Pay (powered by Doceree) (the "Co-Pay Platform"), a web-based informational platform that enables individual users to search for and evaluate prescription drug discount opportunities. These may include, without limitation, manufacturer-sponsored co-pay assistance programs, third-party coupon offers, and other savings options for eligible medications (collectively, "Offers").

The Co-Pay Platform is intended solely to facilitate consumer awareness of available prescription affordability programs. It does not constitute a pharmacy benefit, insurance product, or patient assistance program, and Doceree does not provide medical, pharmaceutical, or insurance services.

Doceree does not charge any fee to individual users for accessing or using the discount opportunities (“Offers”) made available through Co-Pay Platform. As used herein, “Offers” refer to prescription drug discount cards, co-pay assistance programs, manufacturer-sponsored coupons, or other similar cost-saving opportunities that may be presented via the Services. From time to time, third-party sponsors, including, without limitation, pharmaceutical manufacturers or their authorized representatives, may enter into commercial arrangements with Doceree to display or promote specific Offers through Co-Pay Platform. In connection with such arrangements, Doceree may receive compensation for providing digital media placement, promotion, or related services. All Offers are made available by independent third parties, are subject to their own terms and conditions, and may be modified, suspended, or withdrawn at any time without prior notice. Doceree does not guarantee eligibility, availability, level of savings, or therapeutic effectiveness associated with any Offer.

By accessing, using, or registering for the Services in any capacity, you represent that you have read, understood, and agreed to be legally bound by these Terms, including the binding arbitration and class action waiver provisions in Section 13. If you do not agree to these Terms, you must not access or use the Services.

If you access or use the Services on behalf of a company, healthcare institution, agency, or other legal entity, you represent and warrant that you are duly authorized to act on behalf of such entity and to bind it to these Terms. In such cases, all references to “you” or “your” shall include both you individually and the applicable entity.

Certain Services may be subject to additional terms, policies, conditions, or program-specific requirements (“Supplemental Terms”). Supplemental Terms, where applicable, will be disclosed in connection with the relevant portion of the Services and are hereby incorporated by reference into these Terms. In the event of any conflict between these Terms and the applicable Supplemental Terms, the Supplemental Terms shall control with respect to the specific Services to which they apply.

Our collection, use, disclosure, and protection of your personal information in connection with the Services is governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review the Privacy Policy carefully before using the Services.

We reserve the right to amend, update, or otherwise modify these Terms at any time, in our sole discretion. Such changes shall become effective upon being posted on the Services or as otherwise specified in the updated Terms. You are responsible for reviewing the most current version of these Terms, which is identified by the “Effective Date” stated above. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms. If you do not agree to any updates, you must immediately discontinue use of the Services.

The version of the Terms currently posted on the Services shall be deemed the governing version. Doceree may, in its discretion, maintain prior versions for archival or reference purposes, but such versions shall not be controlling.

2. Services

Purpose and Nature of the Services

Doceree offers a digital service branded as “Co-Pay”, which allows individuals to search for and access prescription drug discount offers and affordability-related information made available by unaffiliated third parties. These Services are accessible through websites, mobile applications, communication tools, and digital interfaces owned or operated by or on behalf of Doceree. The Services are intended solely to provide general informational access to certain third-party co-pay assistance, manufacturer-sponsored coupons, discount cards, and similar cost-reduction options (collectively, “Offers”) for eligible medications. Doceree does not provide health insurance, operate as a pharmacy, or dispense any prescription drug products, nor does it guarantee fulfillment or pricing from any pharmacy.

Definition and Source of Offers

The term “Offers” refers to cost-savings opportunities on prescription medications that are developed, sponsored, and distributed by third parties such as pharmaceutical manufacturers, coupon networks, or their authorized intermediaries. Offers may include, but are not limited to, manufacturer co-pay assistance programs, prescription discount cards, or similar benefits made available under the terms set by the offer sponsor. Doceree does not create, fund, or control these Offers and is not responsible for their accuracy, availability, or continued validity.

Third-Party Compensation and Neutrality of Display

Doceree does not charge any fee to individuals who search for or use Offers via the Services. However, certain third-party sponsors, including pharmaceutical manufacturers and other healthcare-related organizations, may enter into commercial arrangements with Doceree to display or promote specific Offers within the Services. Doceree may receive compensation in connection with these arrangements. The presence or visibility of an Offer does not constitute a recommendation or assurance by Doceree as to its effectiveness, applicability, or value.

Informational Use Only; No Medical Advice

The content made available through the Co-Pay Platform, including but not limited to discount Offers, pricing data, educational materials, interactive tools, messaging features, and third-party communications, is provided strictly for general informational and educational purposes. Doceree does not provide medical advice, does not practice medicine or pharmacy, and does not employ or control any physicians, pharmacists, or other healthcare professionals whose information, services, or content may appear on or be accessible through the Services.

Nothing within the Services should be construed as a recommendation, endorsement, or guarantee by Doceree regarding the safety, efficacy, appropriateness, or suitability of any specific drug, pharmacy, manufacturer, prescriber, treatment regimen, or course of care. Any decision regarding a medication or health-related product should be made solely by you in consultation with your licensed healthcare provider, taking into account your unique medical needs and circumstances. Doceree does not verify the accuracy, completeness, or medical applicability of any content submitted or provided by third parties and disclaims any responsibility for clinical outcomes based on such information.

Any Offer made available through the Services is issued and administered by third parties and may be subject to additional eligibility restrictions, expiration dates, and limitations. Doceree does not guarantee that any particular Offer will be accepted at all pharmacies or result in a lower out-of-pocket cost. The Co-Pay Platform Services are not health insurance, and Offers made available through Services do not meet minimum creditable coverage requirements under state or federal healthcare laws. Any discounts obtained through the Services are intended to supplement, not replace, any coverage you may have through your insurer or pharmacy benefit manager.

Use of the Services does not create a doctor-patient, pharmacist-patient, or other provider-patient relationship between you and Doceree, or between you and any third-party sponsor, provider, or pharmacy whose Offer appears on the Services. Doceree is not responsible for the quality of medications dispensed, for the advice or treatment decisions made by any licensed provider, or for the terms and availability of any third-party Offer. You are strongly advised to consult your healthcare provider before making any decisions based on content, Offers, or other information obtained through the Services. Your use of the Services, including your reliance on any third-party content or Offer, is entirely at your own risk.

Doceree may receive compensation from pharmaceutical companies, health product manufacturers, or other third parties in connection with the placement, promotion, or redemption of Offers on the Co-Pay Platform. Such compensation does not affect the ranking, inclusion, or content of any Offer, nor does it constitute an endorsement or recommendation of any third party or product by Doceree.

Limitations of Offers and Eligibility

The availability and scope of Offers are subject to the terms and conditions established by their originating sponsors. Offers may be withdrawn, modified, or restricted at any time without notice. Eligibility criteria may include factors such as insurance coverage, income level, location, or medical diagnosis, and may vary significantly across different Offers. Doceree does not guarantee that any user will qualify for, receive, or benefit from any specific Offer, nor does it assume responsibility for any financial outcome associated with attempting to redeem an Offer.

Optional Messaging and Educational Features

The Services may include optional tools that allow users to receive notifications, reminders, or updates about available Offers, including through SMS, email, or other forms of messaging. Such messaging is provided for user convenience only and is not intended to substitute for professional consultation or official program communications. The Services may also include access to general health education content such as videos or written materials; these are intended for public awareness and are not reviewed or validated as clinical content.

Restrictions on Use

You agree to use the Co-Pay Platform, that is, the prescription savings and informational services made available by Doceree through its websites, mobile applications, and related platforms, solely in a lawful manner and in accordance with these Terms. You shall not use the Services for any purpose that is unlawful, harmful, fraudulent, deceptive, harassing, defamatory, obscene, or otherwise objectionable, including but not limited to any use that could reasonably be deemed to harm minors or interfere with the rights, safety, or well-being of others. You further agree not to: (i) circumvent, disable, or otherwise interfere with any security-related features of the Services; (ii) access or use the Services in a manner that could damage, disable, overburden, or impair any Doceree system or interfere with any other party’s use of the Services; (iii) attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services, whether through hacking, password mining, or any other means; (iv) use any robot, spider, scraper, or other automated means to access the Services for any purpose without Doceree’s express prior written consent; or (v) remove, alter, or obscure any proprietary notices contained within the Services, including those on any discount coupons, Offers, or educational content.

You agree that any prescription medications, healthcare products, or services that you may access or obtain through the Co-Pay Platform shall be solely for your personal use, or for the use of your immediate family member or legal dependent, in accordance with a valid prescription issued by a duly licensed healthcare provider. You may not sell, resell, share, or transfer any prescription-related discount, Offer, or coupon to any other individual or use such discounts in a manner that violates applicable law or professional standards. You further agree not to use the Services in a way that contravenes any state or federal law relating to the acquisition, use, or pricing of prescription medications.

Doceree reserves the right to restrict, suspend, or terminate your access to all or part of the Services at any time, without notice or liability, for any reason, including but not limited to any violation of these Terms, any suspected fraudulent activity, or any conduct that Doceree, in its sole discretion, deems inconsistent with the intended use and integrity of the Services.

Prescription Products and Legal Compliance

Some Offers made available through the Co-Pay Platform apply to prescription-only medications or products that are regulated under applicable federal and state laws. These products may only be dispensed by a licensed pharmacy upon presentation of a valid prescription issued by a licensed healthcare provider. By using the Co-Pay Platform, you acknowledge and agree that:

  • You will not attempt to redeem, present, or use any Offer for a prescription medication unless you have a valid prescription issued by a licensed provider in accordance with applicable law;
  • You will not assist or facilitate the unauthorized use of any prescription-based Offer by another individual;
  • You are solely responsible for ensuring that any medication or product obtained through the Services is used in compliance with the instructions of your healthcare provider and the laws and regulations applicable in your jurisdiction.

Doceree does not issue, fulfill, or validate prescriptions and does not participate in the practice of medicine or pharmacy. The display or availability of a discount Offer via the Services does not constitute an endorsement, clinical evaluation, or legal authorization by Doceree. You remain solely responsible for ensuring the lawful and appropriate use of any product obtained through the Services.

Regulatory Disclosure

The services as provided on Co-Pay Platform, including any Offers made available through them, are not insurance, are not intended to replace insurance, and do not meet the minimum creditable coverage requirements under any federal or state healthcare law or regulation.

Participation in the services as provided by the Co-Pay Platform does not satisfy any individual or employer mandate for health insurance under the Affordable Care Act, state-based coverage mandates, or any other healthcare compliance requirement. Doceree does not offer, underwrite, or administer any insurance policy or health plan, nor does it assume any financial risk related to the provision of healthcare services or pharmaceuticals.

You are solely responsible for determining whether your use of any Offer aligns with your healthcare coverage obligations and whether such use impacts your eligibility for other programs or benefits under applicable law.

Privacy and Information Handling

By using the Services, you consent to the collection, use, and disclosure of information as described in the Doceree’s Privacy Policy. Doceree may collect personal or technical information related to your use of the Services, including but not limited to device identifiers, browsing behavior, or interactions with Offers. This information may be used in accordance with applicable U.S. privacy laws, including the Health Insurance Portability and Accountability Act (HIPAA), the California Consumer Privacy Act (CCPA), and other governing regulations. Doceree does not sell user health data for advertising or marketing purposes and implements reasonable technical and administrative safeguards to protect the confidentiality and integrity of user information.

3. Eligibility

You may access and use the Services only if you are at least eighteen (18) years of age and legally competent to enter into a binding agreement under applicable law. By accessing or using the Services, you represent and warrant that you meet these eligibility criteria. The Services are intended for use only by residents of the United States and its territories. If you do not meet these criteria, you must not access or use the Services.

4. SERVICES ARE ON "AS-IS" BASIS

THE SERVICES, INCLUDING BUT NOT LIMITED TO ANY INFORMATION, TOOLS, CO-PAY PLATFORM SAVINGS OFFERS, EDUCATIONAL CONTENT, USER COMMUNICATION FEATURES, AND THIRD-PARTY LINKS OR MATERIALS, ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, DOCEREE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, OR RELIABILITY. DOCEREE MAKES NO REPRESENTATIONS OR WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, ERROR-FREE, SECURE, OR FREE FROM VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS.

DOCEREE MAKES NO GUARANTEE REGARDING THE AVAILABILITY, VALIDITY, SUITABILITY, OR EFFECTIVENESS OF ANY CO-PAY PLATFORM SAVINGS OFFER, PRICE, DISCOUNT, OR THIRD-PARTY PRODUCT OR SERVICE PRESENTED ON OR THROUGH THE CO-PAY PLATFORM. PRICING INFORMATION AND DISCOUNT DATA MAY BE PROVIDED BY THIRD PARTIES AND MAY BE SUBJECT TO CHANGE WITHOUT NOTICE. DOCEREE DOES NOT WARRANT THAT ANY PHARMACY OR PROVIDER WILL HONOR ANY CO-PAY PLATFORM OFFER THAT SUCH OFFERS ARE CURRENT OR ACCURATE, OR THAT YOU WILL ACHIEVE ANY SAVINGS BY USING THE CO-PAY PLATFORM.

YOU AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE TERMS, CONDITIONS, ELIGIBILITY CRITERIA, AND AVAILABILITY OF ANY DISCOUNT OR OFFER DIRECTLY WITH PHARMACY OR SPONSORING ENTITY. DOCEREE IS NOT RESPONSIBLE FOR TRANSACTIONS BETWEEN USERS AND THIRD-PARTY PROVIDERS, INCLUDING BUT NOT LIMITED TO PHARMACIES, MANUFACTURERS, DATA SUPPLIERS, OR SPONSORS, AND DOES NOT WARRANT THE QUALITY, SAFETY, OR OUTCOME OF ANY SERVICES OBTAINED THROUGH OR REFERENCED BY THE CO-PAY PLATFORM.

ANY MATERIALS OR INFORMATION ACCESSED THROUGH THE SERVICES ARE USED AT YOUR OWN DISCRETION AND RISK. YOU UNDERSTAND AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR SECURING YOUR DEVICES, MAINTAINING APPROPRIATE DATA BACKUPS, AND COVERING ANY COSTS ARISING FROM DAMAGE TO YOUR EQUIPMENT OR LOSS OF DATA. DOCEREE DOES NOT WARRANT THAT CONTENT WILL BE FREE FROM ERRORS OR OMISSIONS, AND RESERVES THE RIGHT TO MODIFY, REMOVE, OR DISCONTINUE FEATURES OR CONTENT AT ANY TIME WITHOUT NOTICE.

TEMPORARY INTERRUPTIONS TO THE SERVICES MAY OCCUR AS PART OF NORMAL OPERATIONS OR DUE TO EVENTS BEYOND DOCEREE’S CONTROL. DOCEREE SHALL NOT BE LIABLE FOR ANY DELAYS, FAILURES, OR INTERRUPTIONS RESULTING FROM INTERNET INFRASTRUCTURE, THIRD-PARTY NETWORKS, DEVICE COMPATIBILITY, SYSTEM MAINTENANCE, OR OTHER TECHNICAL FACTORS OUTSIDE ITS REASONABLE CONTROL.

TO THE EXTENT THAT ANY PRODUCT, SERVICE, OR INFORMATION REFERENCED OR MADE AVAILABLE THROUGH THE CO-PAY PLATFORM IS SUBJECT TO A WARRANTY PROVIDED BY A THIRD PARTY, SUCH WARRANTY IS SOLELY BETWEEN YOU AND THE APPLICABLE THIRD PARTY AND NOT DOCEREE.

THE CO-PAY PLATFORM IS NOT INTENDED TO COLLECT, STORE, OR PROCESS ANY INFORMATION PROTECTED UNDER THE PRIVACY REGULATIONS OF THE U.S. DEPARTMENT OF VETERANS AFFAIRS (VA), INCLUDING SENSITIVE HEALTH OR TREATMENT RECORDS GOVERNED BY 38 U.S.C. § 7332 OR OTHER FEDERAL LAWS. IF YOU ARE A VETERAN OR RECEIVE CARE THROUGH VA PROGRAMS, PLEASE DO NOT SUBMIT ANY VA-GOVERNED MEDICAL OR SERVICE-RELATED INFORMATION THROUGH THE CO-PAY PLATFORM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, THE LIMITATION OF CERTAIN DAMAGES, OR THE WAIVER OF STATUTORY RIGHTS. ACCORDINGLY, ONE OR MORE OF THE DISCLAIMERS, LIMITATIONS, OR EXCLUSIONS SET FORTH IN THESE TERMS MAY NOT APPLY TO YOU. TO THE EXTENT THAT APPLICABLE LAW IN A PARTICULAR JURISDICTION DOES NOT PERMIT THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES OR THE LIMITATION OF CERTAIN RIGHTS, SUCH PROVISIONS SHALL BE DEEMED MODIFIED TO THE MINIMUM EXTENT NECESSARY TO COMPLY WITH APPLICABLE LAW WHILE PRESERVING THE ORIGINAL INTENT OF THESE TERMS TO THE FULLEST EXTENT PERMITTED.

5. Restrictions on Use

You agree not to use the Services for any unlawful, unauthorized, or abusive purpose, including but not limited to:

  • Violating any applicable federal, state, or local law, regulation, or rule;
  • Infringing on the intellectual property rights of Doceree or any third party;
  • Using the Services in a manner that could damage, disable, impair, or interfere with the functionality of the Services or any third-party networks;
  • Attempting to gain unauthorized access to any systems, data, or user accounts connected to the Services;
  • Scraping, crawling, data mining, or otherwise using automated means to extract information from the Services;
  • Using the Services to market, promote, or transmit any spam, unsolicited communications, or other content in violation of the CAN-SPAM Act, TCPA, or similar laws;
  • Misrepresenting your identity or affiliation in connection with the Services;
  • Using any prescription or discount Offer obtained through the Services for anything other than your own personal use (or that of a dependent, as legally permissible).
  • Any violation of the foregoing may result in immediate suspension or termination of your access to the Services and may subject you to legal liability under applicable law. Doceree reserves the right to investigate and cooperate with law enforcement in cases involving suspected misuse or security violations.
  • 6. No Medical or Professional Advice

    The Services are provided for general informational purposes only and do not constitute medical, legal, or other professional advice. The Services are not intended to diagnose, treat, cure, or prevent any medical condition and are not a substitute for professional medical advice, diagnosis, or treatment.

    You should always seek the advice of a licensed physician or other qualified healthcare provider with any questions you may have regarding medical condition or medication. Never disregard professional medical advice or delay in seeking it because of any information made available through the Services.

    Doceree does not endorse, recommend, or guarantee the effectiveness, appropriateness, or safety of any prescription drug, pharmacy, healthcare provider, or treatment regimen mentioned or accessible via the Services. Any reliance you place on such information is strictly at your own risk.

    To the extent the Services include links to third-party content or telehealth providers, such content and services are provided solely for your convenience and do not constitute endorsement by Doceree. Doceree does not provide medical services or advice and does not establish a provider-patient relationship. Any medical services made available through third-party providers or platforms are subject to their own terms and conditions, and you are solely responsible for evaluating and agreeing to those terms before engaging with any such third-party services.

    7. License

    Grant of Limited License

    Subject to your continued compliance with these Terms of Use, Doceree grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to:

    • access and use the Co-Pay Platform (including associated websites, mobile applications, features, and services) solely for the purpose of reviewing and utilizing available prescription discount offers and informational content; and
    • access and use the content, materials, tools, and related data provided on the Co-Pay Platform solely for your personal, non-commercial use in accordance with these Terms.
    • This license does not convey to you any rights of ownership or title in the Co-Pay Platform or any of its content. Any rights not expressly granted herein are reserved by Doceree and its licensors.

    Restrictions

    You agree that you shall not, and shall not permit or assist any other person to:

    1. copy, reproduce, republish, upload, post, transmit, distribute, or otherwise make available any portion of the Co-Pay Platform or its content, except as expressly permitted under these Terms;
    2. modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Co-Pay Platform, or create derivative works based thereon, except to the limited extent expressly permitted under applicable law;
    3. remove, alter, or obscure any copyright, trademark, or proprietary notices appearing on or within the Co-Pay Platform or any materials accessed through it;
    4. use the Co-Pay Platform for any commercial purpose or in any manner inconsistent with its intended use;
    5. interfere with the proper operation of the Co-Pay Platform, including by launching any automated systems (e.g., bots, scrapers, spiders) to access the Co-Pay Platform in a manner that sends more request messages than a human could reasonably produce in the same period;
    6. mirror, frame, or deep link to any page or functionality within the Co-Pay Platform without Doceree's prior written consent;
    7. access or attempt to access any portion of the Co-Pay Platform or its systems, networks, or data that you are not authorized to access, or circumvent or disable any security or access control mechanisms; or
    8. use the Co-Pay Platform to violate any applicable law, regulation, or third-party rights, including intellectual property and privacy rights.

    Third-Party Content and Services

    Co-Pay Platform may display links or offer access to third-party services, products, information, tools, coupon programs, telehealth providers, or content (“Third-Party Content”) not owned or controlled by Doceree. These are provided solely for your convenience and informational purposes.

    Doceree does not operate, endorse, or assume any responsibility for any such Third-Party Content. You acknowledge and agree that Doceree does not make any representation or warranty as to the accuracy, legality, availability, suitability, or reliability of such content or services, and shall not be liable for any damages, losses, or liabilities arising from your interaction with or reliance upon any Third-Party Content. Your use of third-party services or sites is subject to the respective terms and privacy policies of those third parties, which you are solely responsible for reviewing.

    The inclusion of a third-party provider (including, without limitation, any pharmacy, telehealth provider, manufacturer, or discount program operator) on the Co-Pay Platform does not constitute an endorsement, recommendation, referral, or guarantee by Doceree. Doceree does not practice medicine, provide clinical services, or operate as a pharmacy or insurance entity, and is not responsible for the actions, omissions, or services of any third party. You are solely responsible for evaluating and selecting providers based on your independent judgment.

    Intellectual Property and Ownership

    Co-Pay Platform, including all associated content, data, design, software, functionality, audio, video, graphics, logos, and text (collectively, the “Materials”), is the property of Doceree and/or its licensors and is protected under U.S. and international intellectual property laws, including copyright, trademark, and trade secret law. Unless explicitly stated otherwise, you may not reproduce, distribute, publicly display, perform, modify, or create derivative works of the Materials without Doceree’s prior written permission, except for one personal copy for individual, non-commercial use in accordance with these Terms.

    All trademarks, logos, service marks, and brand names displayed on the Co-Pay Platform are the registered or unregistered trademarks of Doceree or third parties. Nothing in these Terms or on the Co-Pay Platform shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any such marks without prior written authorization from the rightful owner. Unauthorized use of any content or trademark may violate applicable laws and result in civil or criminal penalties.

    You agree that you will not use the name, trademarks, logos, or branding of Doceree or its licensors without Doceree’s prior written consent. Doceree reserves all rights not expressly granted herein.

    8. User Account

    Access to certain features or functionalities of the Co-Pay Platform may require you to register for and maintain an individual user account ("Account"). You may choose to create an Account to enhance your use of the Services—such as by saving prescription offers, managing preferences, receiving personalized notifications, or accessing optional tools or features—but account registration is not mandatory to use all portions of the Co-Pay Platform.

    By registering for an Account, you agree to the following:

    1. Eligibility and Registration: You represent and warrant that all information you provide during the account registration process is true, accurate, current, and complete, and that you will maintain and promptly update such information to keep it true and accurate at all times. Information requested may include, without limitation, your full name, email address, mobile phone number, date of birth, and any other data necessary for account functionality or legal compliance. You may not create an Account using false or misleading information or on behalf of any third party without proper legal authority.
    2. Account Security: You are solely responsible for maintaining the confidentiality of your login credentials, including your username and password. You agree not to share, transfer, sublicense, or otherwise permit any third party to access your Account. You are responsible for all activity that occurs under your Account, whether or not authorized by you. Doceree shall not be liable for any unauthorized use of your Account. You agree to immediately notify Doceree of any known or suspected unauthorized use or breach of security related to your Account.
    3. Identity Verification: Doceree may, at any time and at its sole discretion, require verification of your identity to confirm the legitimacy of your Account and prevent fraudulent or abusive use of the Services. This may include requesting additional information or documentation, including government-issued identification or verification via a linked email address or mobile phone. Your failure to provide requested verification information in a timely and accurate manner may result in suspension, restriction, or termination of your Account or access to certain Services.
    4. Account Limitations and Conduct: Each user is permitted to maintain only one Account, unless explicitly authorized in writing by Doceree. You may not use or register an Account on behalf of another individual or entity, and you may not assign, license, sell, or otherwise transfer your Account to any other person or party. You agree not to access or use the Co-Pay Platform for any unlawful, fraudulent, harassing, or harmful purpose, or in any manner that could interfere with the functionality, integrity, or availability of the Services. You further agree not to cause nuisance, annoyance, or disruption to other users, third-party providers, or any aspect of the Services. Doceree reserves the right to monitor use of the Co-Pay Platform and to take any action it deems appropriate, including the suspension or termination of your Account, for behavior that, in its sole discretion, violates these Terms or is otherwise detrimental to the operation of the Co-Pay Platform.
    5. Account Termination and Deletion: You may deactivate or delete your Account at any time through your account settings on the web or mobile. Upon termination, your access to account-based features will cease, but certain transactional or administrative records may be retained in accordance with our Privacy Policy and applicable legal obligations.

    Doceree reserves the right to suspend or terminate your Account, or to limit or revoke access to specific features of the Services, at any time and for any reason, including but not limited to suspected violations of these Terms, suspected fraud, or misuse of the Co-Pay Platform.

    9. Messaging Services

    By providing your mobile number, email address, or other contact information through the Co-Pay Platform or otherwise in connection with the Services, you expressly consent to receive communications from or on behalf of Doceree, including but not limited to discount offers, pricing information, promotional content, prescription-related updates, reminders, educational messages, or information about additional features or services that may be of interest. Such communications may be sent via email, SMS/text messaging, in-app notifications, or other electronic methods.

    Doceree may use third-party service providers or messaging platforms (“Messaging Partners”) to facilitate the transmission of such communications. You acknowledge and agree that your contact information and certain limited data, including health-related, location-based, or preference-based data, may be shared with these Messaging Partners solely for the purpose of enabling the communication services described herein. Doceree does not permit Messaging Partners to use your data for any purpose beyond this scope.

    You understand and acknowledge that:

    • Communications may contain sensitive information, and there is some risk that such messages could be accessed or viewed by third parties not authorized by you, especially if your device or communications platform is not secured.
    • Doceree disclaims any liability for unauthorized access or unintended disclosure resulting from such communications.
    • Message and data rates may apply depending on your service provider and plan. Doceree does not charge a separate fee for such messages.

    Consent to Text Messaging

    By opting in to receive SMS messages or otherwise providing your phone number in connection with a request for information, coupon delivery, or similar services, you agree that Doceree or its Messaging Partners may send you automated or manual text messages at the number provided. These may include marketing messages, reminders, or prescription-related communications. You understand that your consent to receive such communications is not a condition of purchasing any product or using any coupon.

    You may opt out at any time by replying “STOP” to any text message you receive or following other opt-out instructions provided in the communication. Upon receipt of your STOP message, Doceree (or its Messaging Partner) will send you a final confirmation message and cease further messaging unless you re-subscribe.

    To receive assistance regarding messaging services, you may reply with “HELP” or contact Doceree’s support team at support.doceree@doceree.com.

    Doceree is not responsible for any delayed, failed, or undelivered messages, including due to mobile network issues or third-party system errors.

    10. User Provided Content

    Co-Pay Platform may permit you to submit, upload, publish, display, or otherwise provide content to Doceree or its affiliates, whether directly through the Services or via surveys, social media interactions, customer service communications, testimonials, reviews, or promotional campaigns (collectively, “User Content”). User Content may include, but is not limited to, text, images, audio, video, feedback, suggestions, comments, or other materials.

    By submitting any User Content, you grant to Doceree and its affiliates a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, fully paid, transferable, and sublicensable license to use, copy, reproduce, modify, adapt, create derivative works from, distribute, publicly display, publicly perform, host, transmit, and otherwise exploit such User Content, in whole or in part, in any format or medium now known or later developed, for any lawful purpose related to Doceree’s business or the Services. This includes the use of your name, likeness, or other identifying information included with your User Content, if provided, without compensation or further notice to you.

    You represent and warrant that:

    • You own or have the necessary rights, licenses, consents, and permissions to submit the User Content and to grant the license described above;
    • Your User Content does not and will not infringe, misappropriate, or violate the intellectual property rights, privacy rights, publicity rights, or other rights of any third party;
    • Your User Content does not contain material that is unlawful, obscene, defamatory, harassing, threatening, discriminatory, or otherwise objectionable, as determined by Doceree in its sole discretion.

    Doceree does not undertake any obligation to monitor, review, or pre-screen User Content, but reserves the right (without obligation) to remove or disable access to any User Content at any time and for any reason, with or without notice, including if it violates these Terms or is otherwise deemed harmful or inappropriate.

    You understand that submission of User Content is voluntary and that Doceree is not obligated to use or respond to any content you submit.

    11. Indemnification

    You agree to indemnify, defend, and hold harmless Doceree Inc., its affiliates, and their respective officers, directors, employees, contractors, licensors, agents, successors, and assigns (collectively, the “Doceree Parties”) from and against any and all claims, demands, actions, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees and expenses of investigation) arising out of or relating to your use of the Services (including any products, offers, or content accessed through the Services); your violation or alleged violation of these Terms or any applicable law, regulation, or third-party right; your submission or provision of any User Content or other data or materials to the Services; or any negligence, misconduct, or other wrongful act or omission by you. This obligation includes claims arising from any breach of your representations, your misuse of the Co-Pay Platform or its content, or your infringement or misappropriation of any intellectual property, privacy, publicity, or proprietary right of any person or entity.

    Doceree reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully in asserting any available defenses. You may not settle any matter giving rise to indemnification without Doceree’s prior written consent, unless the settlement includes a complete and unconditional release of the Doceree Parties.

    12. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DOCEREE, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, SPECIAL, STATUTORY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, PERSONAL INJURY, PROPERTY DAMAGE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICES, ANY CONTENT AVAILABLE THROUGH THE SERVICES, ANY INTERACTION WITH THIRD PARTIES (INCLUDING PHARMACIES, PAYMENT PROCESSORS, OR MANUFACTURERS), OR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES—WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY—EVEN IF DOCEREE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    DOCEREE SHALL NOT BE RESPONSIBLE FOR ANY DELAYS OR FAILURES RESULTING FROM CAUSES BEYOND ITS REASONABLE CONTROL, INCLUDING BUT NOT LIMITED TO ACTS OF GOD, NATURAL DISASTERS, PUBLIC HEALTH EMERGENCIES, ACTS OF GOVERNMENT, INTERNET OR TELECOMMUNICATION FAILURES, SYSTEM OUTAGES, OR SERVICE INTERRUPTIONS CAUSED BY THIRD PARTIES. DOCEREE IS NOT LIABLE FOR THE ACTS OR OMISSIONS OF ANY PHARMACY, COUPON SPONSOR, THIRD-PARTY TECHNOLOGY PROVIDER, OR ANY ENTITY NOT CONTROLLED DIRECTLY BY DOCEREE.

    DOCEREE DOES NOT GUARANTEE CONTINUOUS, ERROR-FREE, OR SECURE ACCESS TO THE SERVICES OR THAT ANY INFORMATION PROVIDED THROUGH THE SERVICES, INCLUDING COUPON OR DISCOUNT DATA, IS ACCURATE OR UP TO DATE AT ALL TIMES. THE CO-PAY PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND YOU AGREE THAT YOUR USE OF THE CO-PAY PLATFORM IS AT YOUR SOLE RISK.

    YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO DISCONTINUE USING THE SERVICES. IN ANY CASE, TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCEREE’S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS UNDER THESE TERMS—WHETHER IN CONTRACT, TORT, OR OTHERWISE—SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00).

    WITHOUT LIMITING THE FOREGOING, YOU HEREBY EXPRESSLY WAIVE AND RELEASE DOCEREE FROM ANY AND ALL CLAIMS, LOSSES, OR LIABILITIES ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES, WHETHER OR NOT YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH CLAIMS. YOU FURTHER AGREE THAT THIS RELEASE INCLUDES A WAIVER OF RIGHTS UNDER CALIFORNIA CIVIL CODE §1542 (AND ANY SIMILAR LAW IN ANY OTHER JURISDICTION), WHICH PROVIDES: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

    YOU FURTHER AGREE TO WAIVE, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY AND ALL LAWS, STATUTES, OR REGULATIONS THAT WOULD OTHERWISE LIMIT THE SCOPE OR ENFORCEABILITY OF ANY RELEASES, DISCLAIMERS, OR LIMITATIONS OF LIABILITY SET FORTH IN THESE TERMS.

    13. Dispute Resolution; Binding Arbitration

    Governing Law and Jurisdiction

    These Terms of Use, and any dispute or claim arising out of or relating to them or your access to or use of the Services, including any prescription discount offerings, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Except as otherwise expressly provided herein, you and Doceree irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for disputes not subject to arbitration.

    Agreement to Arbitrate

    PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

    Except as explicitly excluded below, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your use of Doceree’s Co-Pay Platform (including but not limited to issues relating to prescription offers, discounts, eligibility, service functionality, or data privacy) shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, as modified herein. Arbitration shall be on an individual basis only; class, collective, representative, and mass arbitration actions are prohibited. This agreement to arbitrate shall survive termination of these Terms.

    Finality of Product-Level Decisions

    You acknowledge and agree that any decisions, determinations, or rulings made by Doceree regarding the operation, eligibility, pricing, content, or functionality of the Co-Pay Platform or related Services (“Product-Level Decisions”) are final, conclusive, and binding on you, except to the extent such decisions are manifestly arbitrary or unlawful under applicable law. You waive any right to challenge or appeal such Product-Level Decisions outside the dispute resolution process set forth in this Agreement.

    Arbitration Procedures

    The arbitration shall be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, as modified by this agreement. The AAA Rules are available online at www.adr.org.

    • Arbitration shall be conducted before a single neutral arbitrator with demonstrated experience in healthcare law, healthcare technology, or related regulatory matters, ensuring familiarity with industry-specific standards and compliance obligations.
    • The arbitration location shall be the State of Delaware unless mutually agreed otherwise.
    • The arbitration shall be conducted in English, respecting privacy and confidentiality standards applicable to healthcare-related information.
    • The arbitrator shall have exclusive authority to resolve all disputes regarding the scope, applicability, enforceability, or formation of this arbitration agreement, including any challenge to its validity or voidability.
    • Any judgment on the arbitrator’s award may be entered in any court with appropriate jurisdiction.

    The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of this agreement is void or voidable.

    Consumer Protections

    • To protect your rights as a consumer in the healthcare context, arbitration shall afford all remedies available under applicable law, including but not limited to damages, injunctive relief, and attorneys’ fees where warranted.
    • The arbitration fees and costs shall be governed by the AAA Rules; however, Doceree shall pay any arbitration fees that would be prohibitive to you, ensuring access to fair dispute resolution regardless of financial status.
    • The arbitration process will respect HIPAA-like confidentiality principles to the fullest extent applicable, and any disclosure of sensitive health or prescription information shall be strictly limited to what is necessary for the resolution of the dispute.

    Class Action, Collective Action, Representative Action, and Mass Arbitration Waiver

    Class Action, Collective Action, and Representative Action Waiver: You and Doceree expressly agree that all disputes, claims, or controversies arising out of or related to these Terms, or the Services must be resolved exclusively through individual arbitration. Neither you nor Doceree shall have the right to initiate, participate in, or be bound by any class action, class arbitration, collective action, representative action, or any other proceeding where claims of multiple parties are combined or adjudicated on a group, class, or representative basis. The arbitrator shall have no authority to consolidate claims of more than one individual, to preside over any class, collective, or representative proceeding, or to issue any relief that would affect any person or entity other than you, individually.

    Mass Arbitration Waiver: To maintain the efficiency and cost-effectiveness of arbitration, mass or bulk arbitration filings are strictly prohibited. If 25 or more substantially similar claims are filed against Doceree by the same counsel, coordinated counsel, or related parties, such claims shall be arbitrated only in batches of no more than 25 claimants per arbitration, with each batch resolved sequentially. Claims beyond the prescribed batch size shall not be arbitrated simultaneously. This staged process is designed to prevent undue administrative burden and ensure fair proceedings.

    Any attempt to circumvent these waivers, including initiating representative or mass actions, shall be deemed a material breach of these Terms and may result in dismissal of such claims or denial of relief.

    Exceptions to Arbitration

    This arbitration agreement does not apply to:

    • Claims brought in small claims court in Delaware, provided they are eligible;
    • Claims for injunctive or equitable relief concerning the unauthorized use, misappropriation, or misuse of Doceree’s intellectual property, trade secrets, data, or confidential information.

    For such claims, either party may seek relief in the state or federal courts located in Delaware, and the parties hereby irrevocably consent to the exclusive jurisdiction and venue of such courts.

    Mandatory Pre-Arbitration Informal Dispute Resolution Process

    Before initiating arbitration, the party intending to bring a claim must first send a written notice of the dispute (“Notice”) to the other party. The Notice must include:

    • The full name and contact information of the claimant,
    • A detailed description of the nature and basis of the claim or dispute, and
    • The specific relief sought.

    Subject: Notice of Dispute – Arbitration

    You and Doceree agree to attempt in good faith to resolve the dispute informally for sixty (60) days from the date the Notice is received before initiating arbitration. Arbitration or court proceedings may only commence if the dispute is not resolved within this period.

    Confidentiality

    All aspects of the arbitration proceedings, including any hearings, filings, awards, and related documents, shall be kept strictly confidential by both you and Doceree, except as necessary to enforce or challenge an arbitration award or as otherwise required by applicable law or court order. Neither party may disclose any information regarding the arbitration to any third party without the prior written consent of the other party, except to the extent disclosure is required to legal advisors, insurers, or as part of a regulatory or judicial proceeding. Both parties agree to take reasonable measures to protect the confidentiality of any sensitive personal health information or proprietary business information disclosed during the arbitration.

    Severability

    If any part of this Arbitration Agreement is found to be unenforceable or unlawful, the remainder shall remain in full force and effect. If the class action waiver or mass arbitration waiver is found unenforceable, then the entirety of this arbitration section shall be null and void.

    14. Miscellaneous

    Termination Rights

    Doceree reserves the right to terminate or suspend your access to all or part of the Services, without prior notice or liability, for any reason, including but not limited to your violation of these Terms, suspected fraudulent or abusive behavior, or if required by law or regulation. Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to indemnification, limitation of liability, confidentiality, and dispute resolution provisions.

    If your use of the Services is terminated for any reason, then:

    (a) these Terms will continue to apply and be binding upon you in respect of your prior use of the Services (and any unauthorized further use of the Services), including your indemnification obligations; and

    (b) any rights or licenses granted to Doceree under these Terms will survive such termination.

    Copyright Infringement Claims

    In compliance with the Digital Millennium Copyright Act of 1998 ("DMCA"), Doceree respects the intellectual property rights of others and expects users to do the same. If you believe that content hosted or accessible via Doceree’s Services infringes your copyright, you or your authorized agent may submit a written notification to Doceree’s designated DMCA Agent requesting the removal or disabling of access to the infringing material. Your notice must include all information required by Section 512(c)(3) of the DMCA, including but not limited to:

    • A clear identification of the copyrighted work(s) you claim have been infringed, sufficient to allow Doceree to locate the material (e.g., title, author, registration number, URL, or other pertinent details);
    • Your full legal name, mailing address, telephone number, and email address;
    • A good faith statement that the use of the material is not authorized by you, your agent, or the law;
    • A statement made under penalty of perjury that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner;
    • Your physical or electronic signature.

    If you believe that material you posted to the Services was removed or disabled in error or through misidentification, you may submit a written counter-notice containing:

    • Identification of the material removed or disabled and its prior location on the Services;
    • A good faith statement under the penalty of perjury that the removal or disabling was due to mistake or misidentification;
    • Your full contact information;
    • Consent to the jurisdiction of the federal district court for the judicial district in which you reside (or if outside the U.S., any judicial district in which Doceree may be found) and your agreement to accept service of process from the party who provided the original DMCA notification;
    • Your physical or electronic signature.

    Doceree enforces a strict repeat infringer policy and reserves the right to terminate accounts of users who repeatedly infringe copyrights. Misuse of the DMCA process, including knowingly making false claims of infringement, may result in legal liability.

    Notice

    Doceree may provide notices to you by posting on the Services, sending an email to the address provided in your account, telephone or text message to any phone number associated with your account, or by mailing first-class or pre-paid mail to your address on file. Notices are deemed delivered (i) 12 hours after email or text message transmission, or (ii) 48 hours after mailing.

    You may provide notices to Doceree by emailing or mailing correspondence to the Legal Department at the address above. All notices must be clear and include sufficient detail for timely and proper response.

    Entire Agreement

    These Terms, along with any referenced policies and supplemental documents incorporated herein by reference, constitute the entire agreement between you and Doceree regarding your use of the Services. They supersede all prior or contemporaneous agreements, communications, or understandings, whether written or oral, relating to the subject matter.

    Changes to Terms

    Doceree reserves the right to amend or update these Terms at any time in its sole discretion. When changes occur, Doceree will post the updated Terms on the Services with the date of the last revision. Your continued use of the Services after such posting constitutes acceptance of the updated Terms, except where prohibited by applicable law.

    Survival

    The provisions of these Terms which by their nature should survive termination or expiration, including but not limited to disclaimers, indemnification, limitations of liability, confidentiality, dispute resolution, and any payment obligations, shall survive any termination or expiration of your use of the Services or these Terms.

    Force Majeure

    Doceree shall not be liable or responsible for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government orders or restrictions, internet or telecommunication failures, or other events outside Doceree’s control.

    Waiver

    No failure or delay by Doceree in exercising any right or remedy under these Terms will operate as a waiver of that or any other right or remedy. Any waiver by Doceree must be in writing and signed by an authorized representative. The exercise of any right or remedy will not preclude the exercise of any other right or remedy.

    Severability

    If any provision of these Terms is found by a court or arbitral tribunal of competent jurisdiction to be invalid, illegal, or unenforceable in any respect, the validity, legality, and enforceability of the remaining provisions will not be affected or impaired, and such provision shall be deemed modified to the minimum extent necessary to make it enforceable while preserving its intent.

    General Provisions

    You may not assign or transfer your rights or obligations under these Terms without Doceree’s prior written consent. Doceree may assign these Terms without your consent in connection with any merger, acquisition, or sale of assets. Any unauthorized assignment is null and void.

    Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Doceree or its affiliates.

    If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

    Doceree’s failure to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.
